What do I need to register a (private limited) company?

Company Name

Only English names are accepted, cannot be identical or similar to other business names or existing trademarks, cannot contain any offensive or vulgar words, and require ACRA approval.

Registered Capital

Paid-up registered capital is a minimum of S$1! Amount can be increased at any time after successful registration.

At least one shareholder

Each company can appoint up to 50+ shareholders. Both corporations and individuals can be shareholders, but companies with corporate shareholders are required to submit an annual audit.

At least one resident director

At least one resident director (Singapore Citizen, PR, EntrePass or Employment Pass holder) must be appointed. If your company is 100% owned by foreigners, we offer reliable nominee director services.

Company Secretary

A statutory secretary must be appointed within 6 months of the company's incorporation. The statutory secretary must be a Singapore citizen or permanent resident and cannot be the sole director or shareholder of the company. We provide company secretarial services.

Registered Business Address

A Singapore company must provide a valid local business address at the time of incorporation. If you are temporarily unable to obtain a valid business address, we can provide a valid address for you to complete your incorporation.

Business Scope

A Singapore company can engage in all legal business activities, but can only choose one or two of its principal businesses at the time of registration.

Company Registration Process

  • Local directors and shareholders need to provide Singapore ID and contact information.
  • Non-local directors and shareholders need to provide passport, overseas address, bank certificate, utility bill and contact information.

Submit the company name for approval

  • If the company name uses sensitive words such as “legal”, “media”, “banking” or “finance”, government agency will request more company information before approval. Approved company names can be retained for 60 days.

  • Once the registration documents are complete, you can apply to submit the registration application. Registration can be completed in 1-3 working days in general.

Successful registration

  • If you intend to operate a restaurant, educational institution, tourism company, financial services, trading company, employment agency, etc., you need to apply for the relevant license.
